Terms of Service

These Terms of Service govern your access to and use of the services provided by Looqko, a B2B SaaS virtual try on platform for online stores. By subscribing to a plan or using our services, you fully agree to these Terms of Service.

1. Definitions

• Looqko: the company publishing the virtual try on service accessible at looqko.com and app.looqko.com.
• Client: any individual or legal entity that has subscribed to a Looqko subscription (online store, brand).
• End User: any consumer using the virtual try on widget on the Client website.
• Services: all features offered by Looqko (widget, API, dashboard, image and video generation).
• Subscription: monthly or annual plan purchased by the Client (Solo, Starter, Plus, Pro, Business).
• Top up: one time purchase of additional credits (image or video generation).
• Generation: production of a virtual try on image or video using artificial intelligence models.

2. Terms of Service

By signing up and accessing our Services, you fully accept these Terms of Service. You confirm that you have the legal authority to sign up and act on behalf of the business you represent. We may update these Terms at any time. We will notify you of any major changes via email at least 30 days before they take effect. Your continued use of our Services after that period means you accept the new terms.

3. Create Your Account

To use the Services, Clients must create an account at app.looqko.com by providing accurate and current information. The Client agrees to:
• Maintain the confidentiality of their login credentials and API key.
• Promptly notify Looqko of any breach or unauthorized account use.
• Refrain from sharing the account with third parties.
• Update their information in the event of any changes.
Looqko reserves the right to suspend any account in the event of misrepresentation, fraud, or violation of these Terms of Service.

4. Service Agreement

Looqko delivers the following features:
• Embeddable JavaScript widget for the Client’s website.
• Secure REST API with API key authentication.
• Virtual try on image generation for clothes and accessories.
• Animated 480p 5 second video generation from static images.
• Management dashboard tracking try ons, stats, billing, API keys, and settings.
• 30 day result storage on Cloudflare R2.
• Email support.
Services are provided on a best effort basis. Looqko does not guarantee uninterrupted service but commits to a yearly uptime rate of over 99.5%.

5. Pricing and Billing

Looqko subscription plans are priced as follows (excluding tax, subject to change):
• Solo: 19 € per month (80 virtual try ons, 0 videos).
• Starter: 39 € per month (200 virtual try ons, 60 videos).
• Plus: 79 € per month (400 virtual try ons, 120 videos).
• Pro: 199 € per month (1500 virtual try ons, 400 videos).
• Business: custom quote.
Payment is processed by credit card via our provider Stripe. Subscriptions are billed monthly or annually depending on the plan selected. Any ongoing subscription period is due in full. No refunds will be issued for the current billing cycle, except as required by law.
In the event of non payment, Looqko reserves the right to suspend service access following email notification.

6. Quotas and top ups

Pro plans and above include a monthly quota of virtual try on images and videos. Unused quotas do not roll over to the next month.
If you exceed your limit, you can purchase top ups:
• Image top up: $0.35 per additional try on
• Video top up: $0.50 per additional video
Top ups are valid until the end of the current billing cycle. All top up purchases are final and non refundable. A 15 minute delay may apply between consecutive purchases to prevent abuse. Monthly spending caps apply to top up purchases based on your plan.

7. Customer Commitments

The Client agrees to:
• Use the Services in accordance with their intended purpose and applicable laws.
• Obtain explicit consent from end users to process their photographs (biometric data).
• Clearly display their store privacy policy and include information regarding Looqko as a data processor.
• Refrain from bypassing quotas, authentication mechanisms, or technical safeguards.
• Refrain from using the Services for illegal, fraudulent, defamatory, or pornographic purposes, or any activities contrary to public order or decency.
• Refrain from generating or distributing images of any individual without their explicit consent.
• Refrain from using the Services to train competing artificial intelligence models.
• Refrain from reverse engineering, disassembling, or decompiling the Services.
• Refrain from reselling the Services under another brand without prior written agreement from Looqko.

Looqko Commitments

Looqko committed to:
• Providing the Services with diligence and professionalism.
• Maintaining a high level of security, including TLS encryption, password hashing, and regular backups.
• Respecting the confidentiality of all Client data.
• Delivering 24 hour advance notice for any scheduled maintenance lasting 1 hour or more.
• Providing dedicated support tailored to your subscription plan.
• Compliance with GDPR and all applicable legal obligations.

Intellectual property

Looqko retains sole ownership of all intellectual property rights in the Services, source code, interface, trademark, and visual assets. Subscription to a plan grants the Client a personal, non exclusive, and non transferable right to use the Services for the duration of the subscription.
The Client retains ownership of all data and images provided (such as customer and apparel photos). The Client grants Looqko a limited license to process this data solely to deliver the Services (generation, temporary storage, and transmission to technical subprocessors).
Images and videos generated by Looqko are the property of the Client, subject to full payment of all outstanding fees. Looqko reserves the right to include a "Powered by Looqko" watermark on images and videos generated under Solo and Starter plans.

10. Privacy Policy

The processing of personal data is governed by our Privacy Policy, available at looqko.com/politique de confidentialité. Looqko acts as a data processor under GDPR regulations for Client end user data. A Data Processing Agreement (DPA) is available to Clients upon request.

Limitation of Liability

Looqko cannot be held liable under the following circumstances:
• In the event of misuse of the Services by the Client or its end users.
• In cases of force majeure, including global outages, armed conflict, natural disasters, or massive cyber attacks.
• In the event of a failure by an independent subcontractor.
• For indirect damages, such as lost revenue, loss of clientele, or reputational damage.
In any event, Looqko liability is capped at the total amount actually paid by the Client over the previous 12 months.
The Client agrees to indemnify Looqko against any third party claims arising from a breach of these Terms of Service, specifically regarding the lack of end user consent for image processing.

12. Force Majeure

Neither Party shall be held liable for any failure to perform its obligations due to an event of force majeure, as defined under Article 1218 of the French Civil Code. Force majeure events include, but are not limited to, natural disasters, massive internet outages, large scale DDoS attacks, acts of war or terrorism, and government actions that disrupt business operations.

13. Termination and Suspension

Clients can cancel their subscription at any time directly from their dashboard. Cancellation will take effect at the end of the current billing cycle, and no refunds will be issued for the remaining period.
Looqko reserves the right to terminate or suspend access to the Services in the event of:
• A serious breach of the Terms of Service left unresolved 7 days after formal notice.
• Nonpayment of more than 30 days.
• Fraudulent, illegal, or harmful activity that damages Looqko's reputation.
• Security risks to the platform or other clients.
Upon cancellation, clients have 30 days to export and retrieve their data. After this period, data is permanently deleted, subject to legal data retention requirements.

Changes to 14. Changes and Updates

Looqko reserves the right to update its Services, features, pricing, and these Terms. Active Clients will be notified via email of any material changes at least thirty days before they take effect. Clients may cancel their service free of charge prior to the effective date of the new terms.

Governing Law and Jurisdiction

These Terms of Use are governed by French law. In the event of a dispute, the Parties will first attempt to reach an amicable solution. If unresolved within 30 days, the dispute will be brought before the competent courts of the jurisdiction of Looqko's registered office, unless mandatory statutory provisions dictate otherwise.
For consumer Clients, the mandatory provisions of the Consumer Code apply and remain unaffected.

These Terms of Service constitute the entire agreement between Looqko and the Client regarding the Services. Any clause deemed invalid by a court of competent jurisdiction shall not affect the validity of the remaining clauses.
